In short:


Priority Guard App Suite is a suite of productivity apps that run inside ChatGPT. We provide tools to help you organize your thinking, track your priorities, and manage your time effectively. Priority Guardian reads your Google Calendar (read-only) but never modifies it. MindSort AI processes only the text you provide during the conversation. All AI-generated insights are suggestions, not professional advice.


You can delete your data at any time. We host everything on EU servers.


  1. Who We Are and What This Covers


These Terms of Service ("Terms") are a binding agreement between you ("you", "user") and Nadja Carabulea, operating as Priority Guard ("we", "us", "our"), a sole proprietorship based in Germany.These Terms govern your use of all applications in the Priority Guard suite ("the Suite"), which currently includes:

Priority Guardian --- calendar-based priority time tracking and weekly reporting

MindSort AI --- visual thought structuring and prioritization

Additional apps may be added to the Suite over time. Each new app will be covered by these Terms unless we publish separate terms for that app. App-specific terms are set out in the Addenda at the end of this document.

By installing, authorizing, or using any app in the Suite through ChatGPT, you agree to these Terms and our Privacy Policy (available at priority-guard.com/privacy). If you do not agree, do not use the apps.

The Suite is an independent third-party application and is not affiliated with, endorsed by, or sponsored by OpenAI or Google. Our use of their services is governed by their respective terms and policies.

  1. Eligibility


You must be at least 13 years old to use the Suite, consistent with ChatGPT's age requirements. If you are between 13 and 18, you must have the consent of a parent or legal guardian. We do not knowingly collect data from children under 13.You must have a valid ChatGPT account and comply with OpenAI's Terms of Use. We are not responsible for your relationship with OpenAI or your compliance with their terms.


  1. What We Provide

3.1 General Description

The Suite consists of productivity applications that operate as ChatGPT SDK apps. They
require an active ChatGPT session and, for certain features, a connected Google Calendar account. The apps are tools --- they assist your decision-making but do not replace professional advice of any kind. The Suite does not guarantee any specific productivity outcome, deadline completion, financial result, or behavioral change, and does not guarantee that it will meet your expectations or requirements. Results depend entirely on your own actions and decisions.

3.2 AI-Generated Content

All apps in the Suite use ChatGPT's language model to generate responses, reports, analyses, suggestions, and visual structures. You acknowledge and agree that:

AI-generated outputs are non-deterministic --- the same input may produce different results at different times.

AI-generated outputs may be incorrect or misleading.

All outputs are informational suggestions, not professional, financial, legal, medical, or career advice.

You are solely responsible for reviewing, interpreting, and acting on AI-generated content.

We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.

AI-generated content should not be the sole basis for important decisions.

3.3 Third-Party Dependencies

The Suite depends on services we do not control, including but not limited to OpenAI (ChatGPT runtime), Google
(Calendar API and OAuth), and Render (hosting infrastructure). We are not liable for outages, changes, or discontinuation of these third-party services. If a third-party service becomes unavailable, the affected
functionality of the Suite may be temporarily or permanently reduced.

3.4 Google Calendar Integration

Where an app connects to Google Calendar, the connection is read-only. We access your calendar data
solely to provide the app's described functionality. We never create, modify, or delete calendar events. Specific details of what each app reads and how it processes that data are described in the Privacy Policy
and the relevant App Addendum.

  1. Your Account and Content

4.1 Account

Your identity in the Suite is a pseudonymous ChatGPT user ID. We never see your real name, email
address, or any other direct identifier. You are responsible for maintaining the security of your ChatGPT account. All activity under your pseudonymous ID is attributed to you.

4.2 Your Content

You retain ownership of all content you enter into the Suite (priority names, goal text, deliverable names, thought dumps, or any other user-authored text). By using the Suite, you grant us a limited license to store, process, and transmit your content solely to provide the service. This license terminates when you delete your data
or your account.

4.3 Content Responsibility

You are solely responsible for the content you enter. We do not moderate user-authored text, and we are not
obligated to monitor, review, or pre-screen user content. However, we reserve the right (but are not obligated) to remove content or restrict access if we determine, in our sole discretion, that content violates these Terms or applicable law. Do not enter sensitive personal information (health data, financial account numbers, government
identifiers) into any app. We are not liable for any consequences arising from content you choose to enter.

  1. Acceptable Use


You agree not to:

  • Use the Suite for any purpose that violates applicable law or OpenAI's usage policies.

  • Attempt to reverse-engineer, decompile, or extract source code from the Suite.

  • Probe, scan, or test the vulnerability of the Suite or its underlying infrastructure.

  • Interfere with or disrupt the Suite's infrastructure, including rate limits and security mechanisms.

  • Use automated tools (bots, scrapers) to access the Suite outside of normal ChatGPT usage.

  • Impersonate another person or misrepresent your identity.

  • Use the Suite to store or transmit content that is illegal, harmful, or violates third-party rights.

We reserve the right to suspend or terminate your access if you violate these Terms.

  1. Data, Privacy, and Deletion


6.1 Privacy

Our collection, use, and protection of your data is governed by our Privacy Policy. These Terms incorporate the Privacy Policy by reference. In case of conflict between these Terms and the Privacy Policy on data handling
matters, the Privacy Policy prevails.


6.2 Shared Infrastructure

All apps in the Suite share a common backend for authentication, user management, and consent tracking. Your
pseudonymous user ID, encrypted OAuth tokens, and consent records exist at the suite level. For apps that use Google Calendar (currently Priority Guardian only), disconnecting your Google Calendar connection
may impact that app's functionality. We will inform you of cross-app effects where technically feasible.

6.3 Data Deletion

You can delete your data at several levels:

App-level:

Delete specific records within an app (e.g., delete a priority in Priority Guardian, which cascade-deletes all associated goals, deliverables, and weekly snapshots; or delete your saved board in MindSort AI, which permanently removes all clusters, thought items, tags, and priorities).

Disconnect:

Revoke Google Calendar access (Priority Guardian only). This stops data collection but preserves your existing data. Stored historical data (priorities, snapshots, goals, deliverables) remains until you explicitly delete it or request full account deletion.

Full account deletion: Contact support@priority-guard.com to permanently delete all your data across all apps. We respond within 30 days.

Deletion is permanent and irreversible. Encrypted database backups are retained by our hosting provider for 7 days after deletion, then permanently destroyed. After that, no recovery is possible.

6.4 Inactivity

Accounts with no active OAuth connections or consents for 6 or more consecutive months are automatically permanently deleted. This process runs monthly.

  1. Service Availability


We aim to keep the Suite available and reliable, but we do not guarantee uninterrupted or error-free operation. Specifically: We provide the Suite on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to warranties of fitness
for a particular purpose, merchantability, and non-infringement.

We do not guarantee any specific uptime percentage.

We do not guarantee that your data will be stored, preserved, or retrievable at any given time. Data may be subject to automatic deletion (see Section 6.4), user-initiated deletion, or loss due to third-party service failures.

Scheduled maintenance, infrastructure updates, or third-party outages may cause temporary unavailability.

Data computations (such as weekly hour totals) depend on the accuracy and availability of third-party APIs. We are not liable for incorrect results caused by third-party data issues.

Features may be added, modified, or removed as the Suite evolves. We will provide reasonable notice for material changes.

  1. Intellectual Property


All rights in the Suite's software, design, architecture, branding, and documentation remain with us. These
Terms do not grant you any ownership rights in the Suite. You receive a limited, non-exclusive, non-transferable, revocable license to use the Suite for its intended purpose."Priority Guard", "Priority Guardian", "MindSort AI", and the associated logos are our trademarks. You may not use them without our written permission.

  1. Limitation of Liability


To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental,
special, consequential, or punitive damages arising from or related to your use of the Suite, including but not limited to: Missed meetings, scheduling errors, or calendar misinterpretations.

Loss of data, including data lost due to deletion cascades you initiated.

Inaccurate time computations, reports, or pattern analyses.

Decisions you make based on AI-generated suggestions.

Service interruptions caused by third-party providers.

Unauthorized access to your account due to compromised ChatGPT credentials.

Where liability cannot be fully excluded under applicable law, our total aggregate liability for any claims arising under these Terms shall be limited to typical and foreseeable damages, and in no event shall exceed the amount you have paid us in the 12 months preceding the claim, or €50 (fifty euros), whichever is greater.

Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded under applicable law, including mandatory provisions of German civil law (BGB).

  1. Indemnification


You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your violation of these Terms, (b) your unlawful use of the Suite, or (c) your violation of any third party's rights through your use of the Suite.

11. Changes to These Terms

We may update these Terms to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will update the effective date and version number at the top of this document. We will make reasonable efforts to notify you of significant changes (e.g., through in-app notices or updates to our website). Continued use of the Suite after changes take effect constitutes acceptance of the revised Terms.

12. Termination

You may stop using the Suite at any time by disconnecting your Google Calendar (if applicable) and requesting
account deletion via support@priority-guard.com.We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Suite. Upon termination, your license to use the Suite ends immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

  1. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict of
law principles. If you are a consumer residing in the EU, you also retain the protection of the mandatory provisions of the consumer protection laws of your country of residence.

For disputes, we encourage you to contact us first at support@priority-guard.com. If we cannot resolve the matter informally, the courts of Germany shall have jurisdiction, subject to any mandatory jurisdictional rules applicable to consumers in the EU.

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but we will assess participation on a case-by-case basis.

14. General Provisions

Entire Agreement: These Terms (together with the Privacy Policy and any App Addenda) constitute the entire agreement between you and us regarding the Suite.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms.

Language: These Terms are provided in English. A German translation may be made available. In case of conflict, the English version prevails.

Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or widespread internet outages.


-APP-SPECIFIC ADDENDA-


Addendum A: Priority Guardian

This addendum supplements the general Terms above with provisions specific to Priority Guardian.

A.1 Service Description

Priority Guardian helps you track time spent on your top priorities by connecting to your Google Calendar (read-only). You declare up to 3 active priorities, each assigned a calendar keyword (P1, P2, or P3). Priority Guardian matches your calendar events against these keywords and computes weekly time allocations.

A.2 Google Calendar Access

Priority Guardian uses the Google Calendar API scope calendar.events.readonly. It reads event titles, descriptions,
start/end times, event status, and your personal response status (accepted, declined, tentative). It explicitly restricts the API response to only these fields --- Google never sends us event locations, organizer emails, attendee lists, attachments, or video call links.

Priority Guardian never writes to your calendar. It does not create, modify, or delete events. If a future version requires write access, we will request separate consent.

A.3 What Is Stored vs. Computed Stored:

Priority names, types, keywords, deadlines, targets, checkpoint dates, goals, deliverables, weekly aggregated hours, streak counts, and running averages. All user-authored text. Google OAuth tokens (AES-256 encrypted).

Computed and discarded: Event titles and descriptions are processed in real-time to compute hours and semantic groupings, then discarded. Only the aggregated numbers persist. For the current week's report, event titles and descriptions are passed to ChatGPT for semantic grouping of non-priority time --- this data is not stored by our backend.

A.4 Data Accuracy Disclaimer

Time computations depend on keyword matching against your calendar event titles. Events without the correct
keyword are not counted. Events with incorrect keywords are counted toward the wrong priority. Time zones, DST transitions, recurring event exceptions, and cancelled events may affect accuracy. We make reasonable
efforts to handle these edge cases but do not guarantee perfect accuracy.

A.5 Deletion Behavior

Deleting a priority permanently deletes all associated goals, deliverables, and weekly snapshots via database
cascade. This action cannot be undone. Retiring a priority freezes it (read-only) without deleting data --- retired priorities can still be viewed but are no longer updated.


Addendum B: MindSort AI

This addendum supplements the general Terms above with provisions specific to MindSort AI.

B.1 Service Description

MindSort AI helps you visually structure unstructured thoughts by organizing them into themed clusters,
subclusters, and priorities. It does not connect to Google Calendar or any external data source. All input comes directly from you through ChatGPT.

B.2 Data Model

MindSort AI stores one board per user. Every time you organize your thoughts, your board is automatically saved to the database and overwrites the previous version. There is no version history and no undo. Board data consists of cluster names, subcluster names, thought items, behavioral tags, and priority assignments (up to 3, with rank P1/P2/P3 and optional reason: "blocker" or "goal-aligned")--- all user-authored content structured by the language model.

B.3 No External Connections

MindSort AI does not require Google Calendar or any OAuth connection beyond the standard ChatGPT authentication. It processes only the text you provide during the conversation.

B.4 What Gets Sent to OpenAI

Your full board content --- cluster names, subcluster names, thought items, tags, and priority assignments
(including rank and optional reason) --- is included in requests and responses exchanged with the ChatGPT runtime so the language model can display, organize, and update your board conversationally. When you use
the thought-organizing and prioritization features, the text you provide to confirm you are done adding thoughts, state your prioritization criterion, or name your priorities is also included. We do not intentionally include direct account identifiers such as your name or email address in these transfers.

B.5 Data Retention

Board content (clusters, thought items, tags, priorities), content hash, and board snapshot timestamp are retained
until you delete your board in-app or request full account deletion. For shared retention periods (OAuth tokens, browser session, consent records, audit logs, database backups), see Section 6 and the Privacy Policy.

B.6 Deletion Behavior

You can delete your MindSort AI board at any time by asking ChatGPT to delete your data. The app will confirm exactly what will be deleted before proceeding: your saved board with all its clusters, thought items, tags, and priorities. Once confirmed, all board data is permanently deleted. This action cannot be undone.

Please note: a deletion audit log entry is retained separately for up to 90 days for compliance purposes, after which it is permanently deleted. For full account deletion, contact support@priority-guard.com.

B.7 AI Clustering Disclaimer

The clustering, subclustering, and tagging of your thoughts is performed by ChatGPT's language model. Results are non-deterministic and may vary between sessions. Clusters are organizational suggestions --- not assessments, diagnoses, or recommendations. You decide what to do with the structured output.


Addendum C: Future Apps


When new apps are added to the Priority Guard
suite, a corresponding addendum will be appended to these Terms. Until a
specific addendum is published for a new app, the general Terms above
apply in full. We will update the version number and effective date of
this document when new addenda are added.
